Terms of Service for Asly
1. Overview
Welcome to Asly. These Terms of Service (“Terms”) govern your access to and use of the Asly platform, including our website, software, and services (collectively, the “Platform”).
By creating an account or using the Platform, you agree to be bound by these Terms.
2. Subscription Plans & Order Quota
Asly provides a cloud-based e-commerce platform billed through monthly subscription plans. Each plan includes a fixed number of customer orders per billing cycle (“order quota”).
2.1 Order Quota
Order quota is a non-transferable allowance tied to your account. It is not currency, e-money, or a stored balance. Quota does not roll over between billing cycles unless we state otherwise in writing.
2.2 What Consumes Quota
Each customer order revealed on your account (automatically or by you) consumes one order from your quota. Manual orders you create in the dashboard do not consume quota.
2.3 Held Orders
When your quota is exhausted, your storefront may remain active. New customer orders may be held without displaying customer personal information until you reveal them and have available quota.
2.4 Plan Changes
Upgrades may increase your quota immediately. Downgrades take effect at the next billing cycle. Prices and plan limits are shown on the Platform and may change with notice as permitted by these Terms.
2.5 Cancellation of Orders
Revealing an order consumes quota whether or not the order is later canceled. Canceling a held order before reveal does not consume quota.
3. Billing & Payments
3.1 Payment Processing
Platform subscription fees are processed by Polar.sh. Polar handles payment processing and invoicing for your Asly subscription.
3.2 Subscriptions
Paid plans renew monthly until canceled. You may cancel through the billing portal; access to paid features continues until the end of the current billing period unless otherwise stated.
3.3 Refund Policy
Subscription fees are generally non-refundable except where required by law or for verified billing errors.
3.4 Payment Failures
If payment fails, we may mark your subscription past due. If payment is not resolved within seven (7) days, we may downgrade your account to the Free plan and apply Free plan limits.
4. Data Ownership & Intellectual Property
4.1 Your Content
You retain full ownership of all content you upload, including but not limited to text, images, videos, product listings, and customer data (“Content”).
You grant Asly a worldwide, non-exclusive, limited license to host, store, reproduce, and display your Content as necessary to provide, maintain, secure, and improve the Platform.
You are solely responsible for your Content and its legality.
4.2 Our Platform
Asly, including its software, code, infrastructure, design, features, and branding, remains the exclusive property of Asly.
You may not copy, modify, distribute, reverse engineer, scrape, or attempt to gain unauthorized access to any part of the Platform.
4.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by Asly without restriction or compensation.
5. Data Use & Platform Integrity
Asly may use aggregated and anonymized data to:
- Improve the Platform
- Enhance performance and features
- Detect fraud and abuse
We do not sell or use individual merchant data to create competing businesses.
6. Acceptable Use Policy (AUP)
You agree not to use Asly to:
- Sell illegal, counterfeit, or regulated goods without proper authorization
- Distribute pirated or unauthorized digital content (including IPTV services)
- Engage in fraud, phishing, or deceptive practices
- Violate intellectual property rights
- Promote harmful, abusive, or unlawful content
- Violate the laws of the Kingdom of Morocco or applicable jurisdictions
Enforcement
Asly reserves the right to suspend or terminate accounts that violate this policy without notice and without refund of prepaid subscription fees for the current period.
7. Account Responsibility
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity under your account
Asly is not liable for unauthorized access resulting from your failure to secure your account.
8. Service Availability & Changes
8.1 Availability
The Platform is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free service.
8.2 Modifications
Asly may modify, update, or discontinue features or services at any time without prior notice.
9. Third-Party Services
The Platform may rely on third-party providers (including payment processors, hosting infrastructure, and integrations).
Asly is not responsible for failures, delays, or outages caused by these third parties.
10. Limitation of Liability
To the maximum extent permitted by law:
- Asly shall not be liable for indirect, incidental, or consequential damages
- Total liability for any claim is limited to the amount you paid in the three (3) months preceding the claim
11. Termination
11.1 By You
You may stop using the Platform at any time. Prepaid subscription fees are non-refundable upon account closure except where required by law.
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to make payments
- Your account is involved in fraud or high-risk activity
12. Communications
You agree that Asly may contact you regarding:
- Account activity
- Billing and payments
- Service updates and changes
13. Governing Law & Disputes
These Terms are governed by the laws of the Kingdom of Morocco.
Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Casablanca.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
15. Affiliate Program
Asly offers a referral program that lets you earn commission when people you refer subscribe to a paid plan. Participation is subject to the Affiliate Program Terms, which describe eligibility, commission rates, payout holds, clawbacks, tax responsibility, and fraud enforcement. We may disable affiliate participation or withhold payouts for abuse, including self-referral or identity-matching signups.
