These Affiliate Program Terms (“Affiliate Terms”) govern participation in the Asly referral program. By sharing your affiliate code or otherwise participating, you agree to these Affiliate Terms in addition to the Terms of Service.

1. Eligibility

• Every Asly account receives a unique affiliate code unless we disable your participation for abuse or policy violations.
• You must comply with the Asly Terms of Service and Acceptable Use Policy.
• We may reject signups that use your code when we detect self-referral, identity matching (same IP or device fingerprint as you at signup), or other fraudulent activity.

2. Attribution

• Referrals are attributed only when a valid affiliate code is entered at signup. There is no cookie-based or post-signup attribution in v1.
• Each referred account may receive the referral bonus once.
• Referred users who sign up without a code cannot be attributed later.

3. Referral bonus (referred merchant)

When a valid code is used at signup, the referred merchant receives 150 customer orders in their first billing cycle instead of the default Free allowance (30). From the second billing cycle onward, quota follows their active subscription plan.

4. Commission

• Rate: 30% of subscription payments made by referred users.
• Trigger: Referred user pays for a paid subscription plan. Free signups do not earn commission until they subscribe.
• Duration: Up to 12 paid subscription months per referral. The clock runs only while they stay on a paid plan — if they downgrade to Free, earning pauses until they upgrade again (until 12 paid months are used).

Commission is calculated on the subscription invoice amount processed by Polar for the referred user's Asly plan.

5. Payout holds & schedule

5.1 First commission hold

The first commission from a referred user is subject to a 60-day clearance period after their first successful paid invoice. This protects against chargebacks and payment disputes.

5.2 Later months

Commissions for months 2 through 12 are approved on the normal monthly schedule without an additional 60-day hold per month.

5.3 Minimum payout

You must have at least $10 USD in approved commission before inclusion in a payout batch.

5.4 Payout method

Payouts in v1 are processed manually by Asly administrators in batch runs. Self-serve payout via Stripe Connect may be offered in a future version.

6. Clawbacks

• Refunds, chargebacks, and payment disputes on a referred user's subscription may result in commission clawbacks.
• Clawbacks are applied against your future approved earnings.
• We may reverse or withhold commissions when a referred subscription is canceled or downgraded before clearance completes.

7. Taxes

You are solely responsible for reporting and paying any taxes owed on affiliate earnings in your jurisdiction. Asly does not provide tax advice.

8. Fraud & enforcement

We may review referrals for abuse, including but not limited to:

• Self-referral or creating accounts to refer yourself
• Same IP or device fingerprint as the referrer at signup (hard-blocked at signup when detected)
• Rapid or coordinated signups under one code
• Misleading promotion of the program

We may freeze payouts, reverse commissions, or disable affiliate participation without prior notice when abuse is suspected or confirmed.

9. Changes

We may update these Affiliate Terms from time to time. Continued participation after changes constitutes acceptance.
